Icon Consulting-Group and AgileAlgo Announce a Partnership & Go-To-Market Agreement

Icon Consulting-Group Pte. Ltd. and AgileAlgo Pte. Ltd. announce a Partnership & Go-To-Market Agreement. Both parties have determined that they would benefit from collaborating together for the research and development of a generative artificial intelligence (GenerativeAI) technology to be deployed for the SAP manpower augmentation business.

About AgileAlgo
AgileAlgo is a deep tech Company, specialising in the development and licensing of generative artificial intelligence (GenerativeAi) software, capable of automating the generation of codes, computer languages and programs through Natural Language Processing.

About Icon Consulting-Group
Icon Consulting-Group is Singapore's and Southeast Asia' foremost provider of enterprise software consulting manpower augmentation, and is a contractor to some of Asia's largest enterprise systems project sites.

 

Teaming Relationship
AgileAlgo and Icon Consulting-Group bid respectively for systems implementation projects in the SAP, Salesforce.com and Oracle markets, throughout the Asia-Pacific region. Both parties will put forward their best endeavours to transform their respective customer engagements involving the outsourcing whether by system integrators, and direct end-user customers.

Projects are selected, tracked, and monitored through the Sales Pipeline to collaborate on services to be provided to the end customers. In unconverted project opportunities, AgileAlgo will be providing presales and technical support and deal advisory, to ensure a successful conversion of prospects in the Sales Pipeline.

 

Confidential Information and Publicity
Confidential information of a strategic nature relating to the disclosing Party provided in connection with this Agreement will be held and maintained as strictly private and confidential, where all steps necessary will be taken to preserve such confidentiality. Its usage is solely for the purpose of the preparation of the proposals for projects identified in the Sales Pipeline, and purposes of this agreement.

Both parties are obligated to protect the Confidential Information of the other under the Agreement. If either party seeks to issue any form of publicity in respect of any terms between the two parties shall first consult and obtain prior written consent of the other party.

Non-Solicitation
The Parties further agree not to directly or indirectly contact any staff of the other Party, without the prior written consent of the Other Party, whether for reasons stipulated under this Agreement or for the intention of offering employment and/or compensation and benefits, or commission payments not sanctioned by the senior management of the Other Party

Term and Termination
The Agreement commences from the Effective Date and will continue to be effective until the occurrence of the earliest of the events of 12 months from the Effective Date, where it is now subject to renewal, and mutual agreement to terminate by giving 30 days' notice in writing. Immediate termination of the Agreement by notice in writing may be considered if there occurs a material breach of the Agreement, or if either party ceases to conduct business.

General
Both parties are independent contractors, meaning that no partnership, joint venture or any other formal business organisation is created by the Agreement and neither shall have the authority to bind the other. The Agreement is also not intended to grant rights under any patent or copyright of either party.

​

Neither party shall be liable for failures due to reasons beyond control, and also for any damages or lost revenue or profits however caused in connection with the Agreement. Rights and obligations under this Agreement shall not be assigned or transferred without the prior written consent of both parties involved.

The Agreement shall be construed and governed by the laws of Singapore and the courts of Singapore shall have the exclusive jurisdiction in the event of any dispute arising out of it.
